CONCEPT

At a time in which large corporate law firms are focused on increasing the number of lawyers at their disposal to headcounts of upwards of 3,000, we offer an alternative for clients who expect more than the routine handling of transactions from their legal counsel.

We specialize in projects that require the intensive support, extensive experience and special expertise of our partners. Personal advice on legal matters or regarding questions requiring absolute trust and discretion as to what is right or wrong equates to tangible economic value for our clients.

We earn our clients’ trust through integrity, experience and respect, not by size, international presence or frequent media appearances.

This is our philosophy and this is what we stand for.

 

INTEGRITY

Although legal work has fundamentally changed and become internationalized, we are convinced that retaining the traditional values of German attorneyship is an indispensable prerequisite for our clients’ trust. First and foremost this means strict confidentiality.

We do not use the names of our clients for advertising purposes, report transactions for league tables or report to the usual legal gazettes. We also do not publish transaction lists or participate in beauty contests. We are happy to accept that these principles often lead to a false assessment of our market position.

Our second principle is unfailing loyalty. We do not let our clients down however difficult the situation and refuse to resign our brief or change sides on the basis of purely strategic or economic considerations.

Irrespective of legal conflicts of interest, we do not act contrary to the economic interests of our clients. Accordingly, we refrain from representing the direct competitors of our clients in order to protect our clients’ trade secrets. We do not believe in Chinese walls and therefore never represent more than one bidder at a time in M&A or private equity transactions.

 

EXPERIENCE

We are proud that lawyers from our firm have been involved at the forefront of transactions and legal proceedings over the past years and decades which have shaped and changed both German Stock Corporation law and Germany’s economy.

Members of our firm were prominently involved in the largest hostile takeovers in German history and the first ever contested takeovers on German soil.

Partners of our firm assisted in setting up Germany’s biggest energy supplier and were involved in the financing of what was at that time the largest ever German Private-Equity transaction. They have restructured and privatized state participations and prepared them for public offering. Our lawyers helped in the drafting of  Germany’s first arranged insolvency plan procedure and were the first ever to securitize claims for compensation under German Stock Corporation law.

Cross-Border M&A and German Corporate Law

Josef Broich has gained substantial expertise in all forms of crossborder restructurings, M&A and in German corporate law, in particular regarding mergers, transformations, spin-offs and split-ups.
He has advised several German and international blue chip clients in connection with their acquisitions, divestitures and restructurings in Europe, Asia und in the US.


He advises management boards and supervisory boards, particularly regarding modern Corporate Governance, board compensation and regarding critical German shareholders’ meetings.
Furthermore, he advises international institutional investors regarding their investments in European public companies as well as in the area of distressed assets.

Ferdinand von Rom focuses on international M&A transactions and tender offers as well as on German corporate law. He has gained substantial expertise in these areas, in particular regarding mergers, transformations and domination and profit and loss transfer agreements and cross-border M&A.
